1. Scope, Acceptance & Nature of the Platform
By using promiselandfarmky.com, submitting a deposit, completing an order, arranging transport, or entering Promise Land Farm property, you (“Customer,” “Buyer,” or “Visitor”) agree unconditionally to be legally bound by these Terms of Sale, Disclaimers, and Policies. If you disagree with any portion, you must immediately exit this website, refrain from transacting, and refrain from entering farm premises.

2. Farm-Raised Goods vs. Third-Party Consignment Marketplace
Promise Land Farm operates as both an independent farm producer and a consignment marketplace for verified partner farms and ranches:
– Promise Land Farm Origin Products: Promise Land Farm assumes operational responsibility solely and strictly for livestock, poultry, and agricultural goods that are bred, born, raised, or processed directly on Promise Land Farm property.
– Third-Party Consigned Animals & Meats: For any breeding cows, cattle, sheep, goats, live poultry, hatching eggs, or meats originating from external ranches or partner producers:
– Marketplace Platform Role: Promise Land Farm acts exclusively as a third-party advertising, listing, and payment facilitation platform. Promise Land Farm does not own, feed, examine, warrant, butcher, package, or guarantee external livestock, facilities, meats, or products.
– Transparent Identification & Tracking: Every consignment listing clearly specifies the originating ranch or farm name, animal tag/ID number, descriptive photos, and physical origin location.
– Exclusive Recourse Against Originating Seller: The listed third-party farm or ranch assumes 100% legal, regulatory, civil, and sanitary responsibility for animal health, veterinary certifications (CVI), biosecurity, breed purity, processing standards, cold-chain temperature control, USDA/state inspection compliance, and product quality. The Buyer’s sole legal recourse regarding consignment inventory is directly against the originating third-party producer. Buyer expressly waives, releases, and indemnifies Promise Land Farm, its owners, and its agents from all claims, damages, or disputes arising from third-party products.

3. Reservation Deposit Schedules & Payment Options (Livestock & Hatching Eggs Only)
Deposits apply strictly to live animals, breeding stock, and biological hatching eggs. Standard merchandise, apparel, and body care items are paid in full at checkout:
– Breeding Cattle (Cows, Bulls, Heifers):
• Option A (Deposit Plan): A mandatory, non-refundable deposit of 50% of the total purchase price is paid at checkout to lock in the reservation. The remaining 50% balance must be settled in full prior to or at the time of scheduled pickup, strictly before loading commences.
• Option B (Paid in Full): The customer has the option to pay 100% of the total purchase price upfront at checkout.
• Mandatory Rule: Paying 100% upfront DOES NOT include shipping, transport logistics, or hauling fees. Under both Option A and Option B, the customer remains 100% solely responsible for arranging, securing, and funding all animal transportation.
– Sheep & Goats: Mandatory, non-refundable deposit of $100.00 per head (or pay in full upfront; buyer remains 100% responsible for all transport).
– Live Chickens / Started Poultry: Mandatory, non-refundable deposit of $5.00 per bird (or pay in full upfront; buyer remains 100% responsible for all transport/crates).
– Hatching Eggs (e.g., French Black Copper Marans): Mandatory, non-refundable deposit of $20.00 per setting/order (or pay in full upfront).
– Forfeiture Terms: Deposits allocate pasture resources, committed bloodlines, feed, and incubation space. If a Buyer cancels, fails to settle balance invoices upon notice of readiness, or misses the agreed pickup window, all deposit funds are immediately and irreversibly forfeited.
– Seller Health Contingency: If an animal, flock group, or egg order originating from Promise Land Farm becomes unavailable prior to custody transfer due to natural or veterinary circumstances beyond operational control, Promise Land Farm reserves the exclusive right to roll the deposit credit to a subsequent cycle or issue a direct refund. This represents the Buyer’s sole legal remedy.
– Express UCC “As-Is” Animal Disclaimer (KRS Chapter 355): Under Kentucky law, all live animals and hatching eggs are transferred strictly “AS-IS, WITH ALL FAULTS.” Once an animal or clutch departs seller custody or is loaded, all warranties—including merchantability, fertility, breeding viability, future egg production, hatch rates, parasite resistance, weight conversion, or fitness for a particular purpose—are expressly disclaimed.

4. Pickup Locations, Logistics & F.O.B. Origin Transportation Terms
– Farm of Origin Pickup Address: When you or your commercial hauler select and purchase an animal, the specific ranch/farm of origin physical address will be displayed and provided for scheduling pickup. Loading and transfer will take place at that designated ranch address, unless the individual seller/farmer of that animal and the buyer mutually agree in writing to an alternate pickup or delivery location.
– F.O.B. Origin (Farm Gate / Loading Chute): All livestock sales, farm pickups, and physical shipments are strictly “F.O.B. Shipping Point / Farm Origin” under KRS 355.2-319. Title, ownership, and 100% of the risk of transit loss, disease exposure, heat stress, dehydration, trampling, injury, escape, or mortality transfer entirely to the Buyer the moment the animal steps onto the transport trailer or the package is handed to a common carrier (USPS, UPS, FedEx, or private hauler).
– 100% Buyer Transporter Mandate: Whether paying a deposit or paying 100% upfront, Buyers are exclusively and solely responsible for locating, vetting, hiring, scheduling, and paying their own commercial livestock transporters, or providing their own clean, compliant, humane transport equipment. Promise Land Farm is NOT a transportation provider, freight forwarder, or delivery agent. Promise Land Farm assumes zero liability for transit delays, carrier negligence, trailer temperatures, ventilation issues, physical injury, transit stress, or in-transit mortality.
– Customer-Paid Shipping on Retail Goods: All shipping, freight, postage, and handling fees for physical goods (apparel, lotions, balms) are the sole financial responsibility of the customer and are billed at checkout. Transit loss or carrier damage is the sole responsibility of the delivery carrier.

5. Retail Goods, Consumables & Personal Care (No Deposits)
Apparel (hoodies, shirts, hats), handcrafted lotions, balms, and shelf-stable goods are direct-sale retail transactions paid in full at online checkout:
– Sanitary Return Exclusions: Due to biosecurity and personal hygiene standards, body care products (lotions, balms) and food items cannot be returned or refunded once shipped or collected. Apparel exchanges for documented manufacturing defects must be submitted within 14 days of receipt in brand-new, unwashed, unworn condition with original tags intact.

6. Kentucky Farm Animal Activity & Agritourism Statutory Disclaimers
– KRS § 247.401 – 247.4029 Mandatory Statutory Warning:
WARNING: Under Kentucky law, a farm animal activity sponsor, farm animal professional, or other person does not have the duty to eliminate all risks of injury of participation in farm animal activities. There are inherent risks of farm animal activities that you voluntarily assume by entering farm property or handling animals.
– KRS § 247.800 – 247.810 Agritourism Activity Warning:
WARNING: Under Kentucky law, there is no liability for an injury to or death of a participant in an agritourism activity conducted at this location if such injury or death results from the inherent risks of the agritourism activity. Inherent risks include terrain hazards, unpredictable livestock behavior, and participant negligence. You assume all risks of participating in on-farm activities.
– Appointment Only & Bio-Security: Drop-in visits or unauthorized pasture entry are strictly prohibited. Visitors enter farm property entirely at their own risk.

7. Personal Allergen & Material Sensitivity Disclaimer
– Customer Due Diligence: Buyers bear sole, independent responsibility for inspecting all product materials, textile compositions, and product ingredients prior to purchasing, wearing, or consuming any product.
– Apparel & Textiles: Hats, shirts, hoodies, and wearable goods may contain cotton, polyester, fleece, spandex, acrylic, industrial dyes, inks, and metal fasteners. Promise Land Farm disclaims all liability for contact dermatitis, skin irritation, hives, chemical sensitivities, or allergic reactions resulting from handling, wearing, or laundering merchandise.
– Body Care & Farmstead Products: Lotions, balms, and skincare products contain specific plant oils, waxes, and botanical extracts. Customers must read all listed ingredients and perform a spot-test prior to full use. Promise Land Farm disclaims liability for allergic skin reactions, topical flare-ups, or improper application.
– Agricultural Environment: All farm goods, eggs, and products originate from an active working farm where natural exposure to ambient pollens, dander, grasses, and dusts occurs.

8. Total Limitation of Financial Liability
To the maximum extent permitted under Kentucky and federal law:
– Under no circumstances shall Promise Land Farm, its owners, operators, affiliates, or agents be liable for punitive, indirect, exemplary, special, or consequential damages.
– The total aggregate liability of Promise Land Farm for any claim, cause of action, or dispute arising out of any product, animal reservation, third-party consignment listing, or farm visit shall strictly not exceed the actual dollar amount paid by the customer directly to Promise Land Farm for the specific item, animal deposit, or service in question.

9. Governing Law, Shelby County Venue & Class Action Waiver
– Governing Law & Venue: These Terms shall be construed and enforced strictly under the laws of the Commonwealth of Kentucky. Any lawsuit, legal claim, or judicial proceeding arising directly or indirectly from this site, transactions, or farm visits must be filed and adjudicated exclusively in the state courts located in Shelby County, Kentucky.
– Class Action Waiver: All claims must be litigated on an individual basis. Customers and visitors expressly waive any right to join, initiate, or maintain class-action lawsuits, representative actions, or private attorney general claims against Promise Land Farm.
– Severability: If any clause of this agreement is determined to be unenforceable, the remaining provisions shall remain fully enforceable and legally binding.
